These Terms of Service ("Terms") govern your access to and use of respyr.com (the "Site") and your purchase and use of products and services offered through the Site.
The Site is operated by Respiratory Health Technologies, Inc,/ Respyr® ("Respyr," "we," "us," or "our").
By accessing the Site, creating an account, placing an order, enrolling in a subscription, or otherwise using our services, you agree to be bound by these Terms and any policies referenced in them.
If you do not agree to these Terms, you should not use the Site or purchase products through the Site.
1. Online Store Terms
You may use the Site only for lawful purposes.
By using the Site or purchasing a product from us, you represent that you are at least 18 years of age, or the age of majority in your state or jurisdiction of residence if higher.
You may not use our products, Site, or services for any unlawful or unauthorized purpose or violate any applicable law in connection with your use of the Site.
We reserve the right to refuse service, cancel orders, or restrict access to the Site where reasonably necessary to prevent fraud, abuse, unlawful activity, or violations of these Terms.
2. Products and Product Information
Respyr® offers wellness products, which may include:
• Heated Nasal Therapy Mask
• Replacement filters
• Travel cases and accessories
• Other related products that may be introduced from time to time
We make reasonable efforts to accurately display product descriptions, specifications, photographs, colors, features, pricing, and availability.
Actual product appearance may vary slightly because of device displays, manufacturing variations, photography, packaging updates, or product improvements.
We may modify, improve, discontinue, or replace products or product features at any time, subject to applicable law.
3. Health and Medical Information
Respyr® products are intended to be used according to their accompanying instructions.
Information provided through the Site, product descriptions, educational materials, marketing materials, customer support, social media, or other Respyr® communications is provided for general informational and educational purposes.
It is not intended to replace professional medical advice, diagnosis, or treatment.
You should consult an appropriate healthcare professional regarding questions concerning a medical condition, symptoms, treatment, or whether a product is appropriate for you.
Do not disregard professional medical advice or delay seeking medical care because of information provided by Respyr®.
Always follow the instructions, warnings, contraindications, and safety information supplied with the product.
4. Orders
When you place an order, you are offering to purchase the selected products subject to these Terms.
An order confirmation does not necessarily constitute our final acceptance of an order. We accept your order when we ship the products and send you a shipping confirmation. We reserve the right to reject or cancel an order before shipment for legitimate reasons, including:
• Product unavailability
• Pricing or listing errors
• Payment authorization issues
• Suspected fraud or unauthorized transactions
• Quantity limitations
• Shipping restrictions
• Violations of these Terms
If we cancel an order after payment has been processed, we will refund the applicable amount to the original payment method.
We may limit quantities purchased per person, household, account, order, or payment method when reasonably necessary.
5. Pricing and Payment
Prices displayed on the Site are shown in U.S. dollars unless otherwise stated.
Prices, promotions, discounts, bundles, and product availability may change without notice before an order is placed.
Applicable sales tax, shipping charges, and other fees will be displayed during checkout when applicable.
You agree to provide current, complete, and accurate billing and payment information.
By submitting payment information, you represent that you are authorized to use the payment method provided and authorize us and our payment processors to charge the amounts associated with your purchase.
If a pricing or product information error occurs, we may cancel or correct the affected order. If you have already been charged for a canceled order, we will issue an appropriate refund.
6. Shipping
Orders placed through respyr.com are subject to our separate Shipping Policy, which is incorporated into these Terms by reference.
We currently ship only to addresses within the United States.
Shipping estimates are estimates and are not guaranteed delivery dates unless expressly stated otherwise.
Delays may occur because of carriers, weather, holidays, supply disruptions, incorrect shipping information, or other circumstances outside our reasonable control.
Customers are responsible for providing an accurate and complete shipping address.
Our Shipping Policy provides additional information regarding order processing, delivery, shipping charges, and related matters.
7. Returns and Refunds
Purchases made directly through respyr.com are subject to our separate Return and Refund Policy, which is incorporated into these Terms by reference.
Among other requirements, eligible returns must generally be initiated within 30 days after delivery.
Certain restrictions apply depending on the product and its condition.
Replacement filters may be returned only when unopened and otherwise eligible under our Return and Refund Policy.
Customers are generally responsible for return shipping costs for eligible returns unless otherwise required by law or the return results from an error by Respyr®.
Refunds are issued to the original payment method after the returned product is received and inspected.
Please review the current Return and Refund Policy before making a purchase.
8. Purchases Through Third-Party Marketplaces
Respyr® products may also be available through third-party marketplaces, including Amazon, TikTok Shop, Walmart, or other authorized retailers or platforms.
Purchases made through a third-party marketplace are also subject to that marketplace's terms, payment requirements, shipping procedures, return procedures, and other applicable policies.
Where a marketplace requires a different return, refund, or transaction process, the marketplace's applicable process may govern the transaction.
Warranty rights provided by Respyr® are governed by the applicable Respyr® warranty terms unless otherwise stated.
Questions regarding orders placed through a third-party marketplace may need to be directed through the marketplace where the transaction occurred.
9. Subscriptions and Recurring Orders
Respyr® may offer subscriptions or recurring delivery programs for certain products, including replacement filters.
When you enroll in a subscription, you authorize Respyr® and its payment processors to automatically charge your selected payment method for each recurring order at the frequency and price disclosed when you enroll, including applicable taxes and shipping charges.
Subscription pricing, frequency, and applicable discounts will be disclosed before you complete enrollment.
After you enroll, we will send you a confirmation email that includes your subscription terms and instructions for how to cancel.
Unless otherwise stated, subscriptions continue until canceled.
You may cancel or modify an eligible subscription online at any time through the subscription management tools in your account, or by emailing support@respyr.com.
Cancellation must occur before an order has been processed to prevent that order from being charged or shipped.
If a recurring payment fails, we or our subscription provider may retry the payment method or request updated payment information.
We may modify subscription prices or terms prospectively. We will email you advance notice before price or material term changes apply to future subscription charges, and you may cancel before the change takes effect.
Cancellation of a subscription does not automatically cancel an order that has already been processed.
10. Promotions and Discount Codes
Promotional offers, discount codes, referral offers, bundles, giveaways, and other promotions may be subject to additional terms.
Unless otherwise stated:
• Discounts cannot be combined
• Discounts have no cash value
• Discounts cannot be applied retroactively
• Promotions may be limited to certain products, customers, quantities, or time periods
• We may correct or cancel promotions affected by errors, misuse, fraud, or technical problems
We reserve the right to modify or discontinue promotional offers subject to applicable law.
11. Limited Warrants
The Respyr® Heated Nasal Therapy Mask is covered by a one-year limited warranty.
The specific terms, eligibility requirements, exclusions, remedies, and procedures applicable to warranty claims are described in Respyr's Limited Warranty.
A copy of the Limited Warranty is available at https://respyr.com/pages/ and may be requested by emailing support@respyr.com.
The Limited Warranty is incorporated into these Terms by reference.
Where permitted by applicable law, any implied warranties applicable to a product may be limited in duration to the duration of the applicable written limited warranty.
Some states do not permit limitations on the duration of implied warranties, so such limitations may not apply to you.
Nothing in these Terms limits warranty or consumer rights that cannot legally be limited or excluded.
12. Personal Use and Resale
Unless otherwise authorized by Respyr®, products purchased through the Site are intended for personal or household use.
You may not purchase Respyr® products for unauthorized commercial resale, distribution, export, or other commercial purposes without our prior written authorization.
We may limit or cancel orders that reasonably appear to be intended for unauthorized resale or distribution.
13. Accounts
Certain features may allow or require you to create an account.
You are responsible for:
• Maintaining the confidentiality of your login credentials
• Providing accurate account information
• Updating your information when necessary
• Activity occurring through your account
You should contact us promptly if you believe your account or payment information has been accessed or used without authorization.
We may suspend or terminate accounts used fraudulently, unlawfully, or in violation of these Terms.
14. Reviews, Feedback and User Content
You may have opportunities to submit product reviews, photographs, comments, feedback, testimonials, suggestions, or other content ("User Content").
You retain ownership of User Content you create.
By submitting User Content to Respyr® through the Site or through a feature specifically intended for public submission, you grant Respyr® a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, adapt, and distribute that content in connection with operating, improving, and promoting Respyr® and its products, subject to applicable law.
You represent that:
• You own or have permission to submit the content
• The content does not violate another person's rights
• The content is not fraudulent, defamatory, unlawful, or misleading
• Any statements regarding your experience reflect your genuine experience
We may remove or decline to publish User Content that violates these Terms or applicable law, is unrelated to our products, contains personal or confidential information, or is abusive, obscene, harassing, or discriminatory. We apply these standards whether a review is positive or negative, and we do not remove or suppress reviews because they are negative.
Submission of a review does not guarantee publication.
15. Intellectual Property
The Site and its contents, including product names, trademarks, logos, graphics, photographs, videos, text, designs, software, packaging, and other materials, are owned by or licensed to Respyr® and are protected by applicable intellectual property laws.
You may access and use the Site for personal, non-commercial purposes.
Without our prior written permission, you may not:
• Copy or reproduce substantial portions of the Site
• Modify or create derivative works from Site content
• Use Respyr® trademarks or branding
• Scrape or systematically extract Site content
• Sell or commercially exploit Site content
• Represent yourself as affiliated with or authorized by Respyr®
Nothing in these Terms grants you ownership of Respyr® intellectual property.
16. Prohibited Uses
You may not use the Site:
• For unlawful purposes
• To violate applicable laws or regulations
• To infringe intellectual property or privacy rights
• To submit false or misleading information
• To transmit malicious code, malware, or harmful software
• To attempt unauthorized access to our systems or accounts
• To interfere with Site security or operation
• To scrape, crawl, harvest, or systematically collect information without authorization
• To engage in fraud or payment abuse
• To impersonate another person or entity
• To misuse promotions or discount programs
• To harass, threaten, or harm others
We may suspend access to the Site for violations of these restrictions.
17. Third-Party Services and Links
The Site may use or link to services operated by third parties, including payment processors, shipping providers, subscription platforms, review platforms, analytics providers, customer service platforms, social media platforms, and marketplaces.
Third-party services are governed by their own terms and privacy practices.
Respyr® is not responsible for the availability, security, accuracy, or operation of third-party websites or services that we do not control.
The presence of a third-party link does not necessarily constitute an endorsement.
18. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
Please review the Privacy Policy for information about how we collect, use, disclose, and protect personal information.
Third-party providers used to process transactions or provide Site functionality may also process information according to their own privacy policies and contractual obligations.
19. Email, Text Message and Marketing Communications
If you choose to receive promotional communications from Respyr®, you may unsubscribe from marketing emails using the unsubscribe mechanism included in those communications.
If you opt in to receive text messages from Respyr®, you agree to receive recurring automated marketing messages at the mobile number you provide. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe or HELP for help.
Transactional messages relating to orders, subscriptions, customer support, warranty claims, accounts, safety information, or other service-related matters may still be sent when necessary.
Consent to receive marketing communications is not a condition of purchasing Respyr® products unless specifically disclosed otherwise.
20. Errors, Inaccuracies and Omissions
Occasionally, information on the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping, or other information.
We reserve the right to correct errors and update information.
If an error materially affects an order you have already placed, we will take reasonable steps to correct the issue, which may include contacting you, canceling the affected transaction, or issuing a refund.
21. Availability of the Site
We do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.
We may update, maintain, suspend, modify, or discontinue portions of the Site when reasonably necessary.
We are not responsible for temporary interruptions resulting from maintenance, internet outages, third-party service failures, cybersecurity incidents, force majeure events, or other circumstances outside our reasonable control.
22. Disclaimer
Except for warranties expressly provided by Respyr® and rights that cannot be excluded under applicable law, the Site and its content are provided on an "as is" and "as available" basis.
We do not guarantee that information available through the Site will always be error-free, complete, or current.
Product performance and individual experiences may vary.
Nothing in this section modifies or eliminates Respyr's obligations under its written Limited Warranty or any warranty, product liability, consumer protection, or other rights that cannot legally be waived or limited.
23. Limitation of Liability
To the fullest extent permitted by applicable law, Respyr® and its officers, directors, employees, affiliates, agents, contractors, suppliers, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of the Site.
To the fullest extent permitted by law, Respyr's aggregate liability arising from a transaction through the Site will not exceed the amount you paid Respyr® for the product or transaction giving rise to the claim.
These limitations do not apply where liability cannot legally be excluded or limited, including rights or remedies that may apply under applicable product liability, warranty, consumer protection, or other laws.
Some jurisdictions do not allow certain exclusions or limitations of liability, so portions of this section may not apply to you.
24. Indemnification
To the extent permitted by law, you agree to indemnify and hold Respyr® and its affiliates, officers, directors, employees, and agents harmless from third-party claims, damages, liabilities, and reasonable costs arising directly from your unlawful use of the Site, violation of these Terms, or infringement of another person's rights.
This provision does not require you to indemnify Respyr® for claims resulting from Respyr's own negligence, wrongful conduct, product defects, or other liability for which indemnification cannot legally be required.
25. Termination
These Terms remain effective while you use the Site.
We may suspend or terminate your access to the Site if you materially violate these Terms, engage in fraudulent or unlawful conduct, threaten the security of the Site, or misuse our services.
Provisions that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, liability, dispute resolution, and obligations arising before termination.
26. Governing Law and Dispute Resolution
These Terms and transactions conducted directly through respyr.com are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, except where applicable consumer protection laws require otherwise.
Before filing a claim, you agree to first contact us at support@respyr.com with a description of the dispute so that we can try to resolve it informally. If the dispute is not resolved within 30 days, either party may proceed as described below.
Any dispute that is not resolved informally and that may properly be brought in court will be subject to the jurisdiction of the appropriate state or federal courts located in Indiana, unless applicable law provides you with the right to bring the matter elsewhere.
Nothing in this section limits rights available to consumers under mandatory laws of their state or jurisdiction.
27. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.
28. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
29. Entire Agreement
These Terms, together with policies expressly incorporated by reference, including our:
• Privacy Policy
• Shipping Policy
• Return and Refund Policy
• Limited Warranty
• Applicable subscription terms
constitute the agreement governing your use of the Site and purchases made directly through the Site, except where additional written terms apply to a specific product, promotion, or service.
30. Changes to These Terms
We may update these Terms from time to time to reflect changes to our products, services, business practices, technology, or legal requirements.
When we make changes, we will update the "Last Updated" date at the top of this page.
If you have an active subscription, we will also notify you by email of material changes that affect your subscription.
Material changes will apply prospectively unless otherwise permitted by law.
Your continued use of the Site after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.
